Sebagai bagian dari Layanan, Influencer Independen akan membuat dan memposting konten (termasuk, namun tidak terbatas pada, teks, video, dan gambar) mengenai merek Feliluke dan produk Feliluke di halaman Web khusus Influencer Independen (&quot;Halaman Influencer&quot;) dan di Instagram, Instagram Story, Twitter, Facebook, TikTok, blog Influencer, dan mungkin YouTube dan Pinterest (&quot;Saluran Sosial&quot;) (secara kolektif disebut &quot;Konten&quot;) dalam upaya untuk menghasilkan penjualan.<\/p><p>Influencer Independen setuju untuk:<\/p><p>-Mencurahkan waktu, sumber daya, dan upaya terbaiknya pada Layanan sebagaimana yang secara wajar diperlukan untuk menjalankannya secara profesional dan tekun.<br \/>-Mematuhi semua hukum dan peraturan yang berlaku.<br \/>-Menentukan, atas kebijakannya sendiri, waktu, tempat, cara, sarana, metode, dan sumber daya mandiri\/pribadi yang dengannya Layanan dilakukan dan dicapai.<br \/>-Menyediakan dan memanfaatkan peralatan, perkakas, dan sumber daya miliknya sendiri dalam menjalankan Layanan, tetapi Feliluke akan menyediakan kepada Influencer Independen materi informasi tertentu untuk memfasilitasi pembuatan konten yang dibuat oleh Influencer Independen untuk Halaman Influencer dan\/atau Saluran Sosial miliknya (templat dan materi lain tersebut secara kolektif disebut sebagai &quot;Materi Feliluke&quot;).<br \/>-Akan bertanggung jawab untuk (i) membuat dan mengedit Konten dan (ii) mengirimkan Konten tersebut melalui email ke Feliluke untuk diunggah ke Halaman Influencer atau memposting Konten tersebut di Saluran Sosial.<br \/>-Semua Konten yang diunggah ke Halaman Influencer akan diposting ke Halaman Influencer.<br \/>-Dimengerti dan disetujui bahwa Influencer Independen akan menjadi kontraktor independen, bukan dan tidak akan dianggap sebagai agen atau karyawan Feliluke (atau afiliasinya atau entitas terkait), dan tidak memiliki kewenangan untuk mengikat Feliluke (atau afiliasinya atau entitas terkait) melalui kontrak atau lainnya.<\/p><p><span style=\"text-decoration: underline;\"><strong>Pembatasan.<\/strong><\/span><\/p><p>Influencer Independen setuju bahwa mereka tidak akan:<\/p><p>-Membuat pernyataan yang merendahkan tentang Feliluke dan\/atau produk Feliluke<br \/>-Menautkan ke situs web pihak ketiga mana pun, selain Saluran Sosial, di Halaman Influencer atau mengarahkan pengunjung Halaman Influencer ke situs web pihak ketiga, kecuali jika situs tersebut menautkan.<br \/>-Menjual kembali atau mendistribusikan produk Feliluke apa pun, termasuk yang diterima secara gratis atau sebagai hadiah, untuk tujuan komersial, selain melalui Halaman Influencer<br \/>-Mempromosikan produk Feliluke, merek Feliluke, Program dan\/atau Halaman Influencer melalui situs web, media, media sosial, atau kehadiran atau sumber elektronik apa pun yang dapat dianggap pornografi, cabul, menyinggung, atau diskriminatif.<br \/>-Terlibat dalam transaksi penipuan apa pun, sebagaimana ditentukan secara wajar oleh Feliluke, termasuk namun tidak terbatas pada, melakukan transaksi dari alamat IP Influencer atau komputer di bawah kendali Influencer.<\/p><p><span style=\"text-decoration: underline;\"><strong>Kompensasi.<\/strong><\/span><\/p><p>Bahasa Indonesia: Sebagai imbalan atas Layanan, Feliluke akan membayar Influencer Independen komisi tetap sebesar $30 untuk setiap Pesanan Kualifikasi produk tertentu, sebagaimana per Lampiran Komisi di bawah ini (&quot;Komisi&quot;). &quot;Pesanan Kualifikasi&quot; didefinisikan sebagai pembelian produk Feliluke tertentu melalui Halaman Influencer, dilakukan menggunakan metode pembayaran yang diterima oleh Feliluke, dan bersifat final \u2013 setiap pengembalian akan mengakibatkan Komisi tertentu dipotong dari pembayaran bulanan. Komisi akan dibayarkan oleh Feliluke kepada Influencer Independen melalui Stripe. Influencer Independen bertanggung jawab penuh untuk membuat dan memelihara akun Pemroses Pembayaran dan mengomunikasikan informasi akun tersebut kepada Feliluke untuk tujuan menerima pembayaran sebagaimana diuraikan di sini. iluke tidak bertanggung jawab untuk melakukan pembayaran apa pun berdasarkan jumlah yang dihasilkan dari transaksi penipuan, sebagaimana ditentukan secara wajar oleh Feliluke, termasuk, tanpa batasan, setiap transaksi yang berasal dari alamat IP Influencer atau komputer di bawah kendali Influencer. Influencer Independen dapat meminta pembayaran setelah Komisi yang terkumpul mencapai $90.\u201d<\/p><p><span style=\"text-decoration: underline;\"><strong>Kerahasiaan.<\/strong><\/span><\/p><p>Definisi. \u201cInformasi Rahasia\u201d berarti semua rahasia dagang dan informasi rahasia atau hak milik, baik tertulis maupun tidak, mengenai teknologi bisnis, hubungan bisnis, atau urusan keuangan Feliluke yang belum dirilis Feliluke kepada masyarakat umum. Informasi Rahasia juga mencakup informasi yang diterima secara rahasia oleh Feliluke dari pelanggan atau pemasoknya atau pihak ketiga lainnya.<br \/>Kewajiban Kerahasiaan dan Kerahasiaan. Independent Influencer tidak akan, kapan pun, tanpa izin tertulis sebelumnya dari Feliluke, baik selama atau setelah jangka waktu Perjanjian ini, mengungkapkan Informasi Rahasia kepada siapa pun di luar Feliluke, atau menggunakan atau mengizinkan digunakannya Informasi Rahasia untuk tujuan apa pun selain pelaksanaan Layanan untuk atau atas nama Feliluke. Independent Influencer akan bekerja sama dengan Feliluke dan menggunakan upaya terbaik untuk mencegah pengungkapan atau penggunaan yang tidak sah atas setiap dan semua Informasi Rahasia. Independent Influencer akan menyerahkan kepada Feliluke semua salinan Informasi Rahasia yang dimiliki atau dikendalikan oleh Independent Influencer setelah permintaan Feliluke atau pemutusan Perjanjian ini karena alasan apa pun, mana yang lebih awal.<br \/>Informasi Pihak Ketiga. Independent Influencer setuju untuk terikat oleh ketentuan perjanjian tersebut jika Independent Influencer memiliki akses ke Informasi Rahasia tersebut.<\/p><p><span style=\"text-decoration: underline;\"><strong>Hak Kekayaan Intelektual.<\/strong><\/span><br \/><strong>Lisensi Konten.<\/strong><\/p><p>Dengan ini Independent Influencer memberikan kepada Feliluke dan anak perusahaan, afiliasi, pemegang lisensi, agen, perwakilan, penerus, dan penerima haknya:<br \/>-Hak, kewenangan, dan kewenangan yang tidak terbatas, telah dibayar penuh, bebas royalti, eksklusif, dapat dipindahtangankan, dan tidak dapat dibatalkan untuk menggunakan, memperbanyak, menerbitkan, mencetak, mendistribusikan, mengirimkan, menyalin, atau menggunakan Konten apa pun, di seluruh dunia dan selamanya, secara keseluruhan atau sebagian, dalam media apa pun yang dikenal sekarang atau yang ditemukan kemudian, untuk tujuan periklanan, promosi, kegiatan pemasaran, hubungan masyarakat, pendidikan, dan tujuan komersial atau nonkomersial lainnya, dengan ketentuan hanya pembayaran yang dilakukan kepada Pemberi Pengaruh Independen pada bagian 2 di sini.<br \/>-Influencer Independen berhak menggunakan Konten yang dapat dibatalkan, tidak terbatas, terus-menerus, dan di seluruh dunia untuk keperluan promosi Influencer Independen, di semua media yang dikenal saat ini atau yang dikembangkan setelah ini.<br \/>-Sehubungan dengan Konten yang menggambarkan wajah, tubuh, dan suara Influencer Independen (\u201cMateri Terbatas\u201d), Feliluke berhak menggunakan Materi Terbatas tersebut setelah mendapat persetujuan terlebih dahulu dari Influencer Independen.<\/p><p><span style=\"text-decoration: underline;\"><strong>Perkembangan Lainnya.<\/strong><\/span><\/p><p>Dengan ini Independent Influencer memberikan kepada Feliluke dan perusahaan afiliasinya, penerus dan penerima hak, hak dan lisensi bebas royalti, abadi, tidak terbatas, dapat dipindahtangankan, tidak dapat dibatalkan, dapat disublisensikan, non-eksklusif, di seluruh dunia untuk menggunakan, mereproduksi, memodifikasi, mengadaptasi, menerbitkan, menerjemahkan, membuat karya turunan dari, mendistribusikan, melakukan dan menampilkan konten atau materi lain apa pun, selain Konten, (i) yang dikirimkan ke Feliluke sehubungan dengan Program atau (ii) yang dibuat oleh Independent Influencer sehubungan dengan Layanan, (secara kolektif, &quot;Perkembangan Lainnya&quot;)<\/p><p><span style=\"text-decoration: underline;\"><strong>Bahan dan Merek Dagang Feliluke.<\/strong><\/span><\/p><p>Kecuali hak terbatas Influencer Independen untuk menggunakan Materi Feliluke semata-mata sehubungan dengan pelaksanaan Layanan, Feliluke tetap memiliki semua hak, kepemilikan, dan kepentingan dalam Materi Feliluke, termasuk semua hak kekayaan intelektual terkait.<\/p><p>Influencer Independen setuju bahwa setiap penggunaan Merek:<\/p><p>-Akan mematuhi standar kualitas Feliluke dan pedoman merek dagang, yang mungkin diberikan oleh Feliluke kepada Influencer Independen dari waktu ke waktu<br \/>-Hanya akan digunakan untuk kepentingan Feliluke. Independent Influencer tidak memperoleh hak, kepemilikan, atau kepentingan apa pun dalam Merek atau reputasi baik yang terkait dengannya. Independent Influencer setuju untuk tidak (A) menyerang Merek atau membantu siapa pun dalam serangan terhadap Merek, dan (B) mengajukan permohonan untuk mendaftarkan Merek atau menggunakan merek dagang, merek layanan, nama dagang, ikonografi, atau turunannya yang membingungkan, termasuk, namun tidak terbatas pada, pendaftaran nama domain apa pun termasuk salah satu Merek, selama jangka waktu Perjanjian ini dan setelahnya.<\/p><p><span style=\"text-decoration: underline;\"><strong>Persyaratan Komisi Perdagangan Federal.<\/strong><\/span><\/p><p>Independent Influencer mengakui dan setuju bahwa ketentuan Panduan Komisi Perdagangan Federal Mengenai Penggunaan Dukungan dan Testimoni dalam Periklanan (selanjutnya disebut &quot;Panduan&quot;) berlaku untuk penyediaan Layanan oleh Independent Influencer di bawah ini. Jika Independent Influencer memilih demikian, Feliluke dapat menautkan ke, dan mengalirkan konten dari Saluran Sosial tersebut di situs webnya, saluran media sosial, dan dalam materi iklan dan promosi Feliluke lainnya.<br \/>Representasi dan Jaminan.<\/p><p>Influencer Independen menyatakan dan menjamin bahwa:<\/p><p>-Dia berusia minimal 18 tahun dan diizinkan secara hukum untuk tinggal dan bekerja di negara tempat tinggalnya<br \/>-Layanan akan dilakukan secara profesional, sah dan sesuai dengan ketentuan dan persyaratan yang ditetapkan di sini dan dalam Materi Feliluke;<br \/>-Konten dan Perkembangan Lainnya adalah karya asli Influencer Independen<br \/>-Penggunaan Konten dan Perkembangan Lainnya oleh Feliluke tidak akan melanggar atau melibatkan penyalahgunaan hak pihak ketiga mana pun<br \/>-Semua izin dan lisensi yang berkaitan dengan penggunaan Konten atau Pengembangan Lainnya telah diperoleh oleh Influencer Independen<br \/>Kecuali sebagaimana ditetapkan secara tegas di sini, tidak ada biaya, kompensasi atau pembayaran lain apa pun yang akan dibayarkan oleh Feliluke untuk Konten atau Pengembangan Lainnya atau konten atau materi apa pun yang dimasukkan di dalamnya kepada pihak ketiga mana pun;<br \/>Dia akan mematuhi semua hukum, peraturan, dan regulasi yang berlaku, termasuk Panduan<\/p><p>Ganti Rugi.<\/p><p>Independent Influencer harus mengganti rugi dan membebaskan Feliluke, afiliasinya, dan direktur, pejabat, agen, serta karyawannya masing-masing dari dan terhadap semua klaim, tuntutan, kerugian, kerusakan, dan putusan, termasuk biaya pengadilan dan biaya pengacara, yang timbul dari atau berdasarkan Layanan dan\/atau kinerja Independent Influencer atasnya, termasuk, namun tidak terbatas pada, (a) klaim apa pun bahwa Layanan yang diberikan di bawah ini atau, hak kekayaan intelektual terkait atau pelaksanaan hak apa pun dalam atau terhadap Konten apa pun, Pengembangan Lainnya, IP Influencer, atau hak kekayaan intelektual terkait melanggar, merupakan penyalahgunaan subjek materi, atau melanggar paten, hak cipta, rahasia dagang, atau merek dagang siapa pun atau melanggar hak kontraktual siapa pun; dan (b) pelanggaran atau dugaan pelanggaran oleh Independent Influencer atas pernyataan, garansi, sertifikasi, perjanjian, kewajiban, atau perjanjian lain yang ditetapkan dalam Perjanjian ini.<\/p><p><span style=\"text-decoration: underline;\"><strong>Istilah; Penghentian.<\/strong><\/span><\/p><p>Perjanjian ini akan dimulai pada Tanggal Efektif dan berlanjut hingga diakhiri sebagaimana ditetapkan di sini. Salah satu pihak dapat mengakhiri Perjanjian ini demi kenyamanan dengan pemberitahuan tertulis setidaknya tujuh (7) hari sebelumnya kepada pihak lainnya. Feliluke dapat, selain hak-hak lain yang mungkin dimilikinya menurut hukum atau ekuitas, mengakhiri Perjanjian ini segera dan tanpa pemberitahuan sebelumnya jika Influencer Independen menolak atau tidak dapat melaksanakan Layanan atau melanggar ketentuan material apa pun dalam Perjanjian ini. Setelah pengakhiran Perjanjian ini, semua hak dan kewajiban para pihak terhadap satu sama lain akan berakhir, kecuali bahwa Bagian-bagian berikut akan tetap berlaku: 2 (sehubungan dengan Pendapatan Bersih yang diperoleh selama jangka waktu Perjanjian ini tetapi belum dibayarkan); 3, 4(a), 4(b), 4(c) dan 5 hingga 13 (inklusif).<\/p><p><span style=\"text-decoration: underline;\"><strong>Kontraktor Independen; Tanpa Agensi.<\/strong><\/span><\/p><p>Influencer Independen bukan dan tidak akan dianggap sebagai karyawan, agen, usaha patungan atau mitra Feliluke, dan tidak ada satu pihak pun yang memiliki hak atau kewenangan untuk menanggung atau membuat kewajiban atas nama atau mengikat pihak lain dengan cara apa pun.<\/p><p><span style=\"text-decoration: underline;\"><strong>Syarat &amp; Ketentuan Afiliasi Feliluke<\/strong><\/span><\/p><p>Harap baca syarat dan ketentuan afiliasi kami (&quot;Ketentuan&quot;) dengan saksama sebelum Anda bergabung dengan program kami atau mulai memasarkan program kami. Syarat dan ketentuan ini ditulis dalam bahasa yang mudah dipahami dan sengaja menghindari bahasa hukum untuk memastikan bahwa syarat dan ketentuan ini dapat dipahami dan diikuti dengan jelas oleh afiliasi. Setiap Afiliasi harus, dan bertanggung jawab untuk memastikan bahwa karyawan, agen, dan kontraktornya, mematuhi syarat dan ketentuan ini serta Ketentuan Penggunaan kami (&quot;TOU&quot;). Setiap perselisihan yang berhubungan dengan Ketentuan ini atau partisipasi Anda dalam Program (didefinisikan di bawah) tunduk pada Bagian 16 TOU. A \\u201cQualifying Order\\u201d is defined as a purchase of specified Feliluke products via the Influencer Page, made using a payment method accepted by Feliluke, and which is final &#8211; any returns will result in the specific Commission being deducted from the monthly payouts. Commissions will be paid by Feliluke to the Independent Influencer via Stripe. The Independent Influencer is solely responsible for creating and maintaining a Payment Processor account and communicating such account information to Feliluke for the purpose of receiving payments as outlined herein. iluke is not responsible for making any payments based on amounts resulting from fraudulent transactions, as reasonably determined by Feliluke, including, without limitation, any transactions originating from the Influencer&#8217;s IP addresses or computers under the Influencer&#8217;s control. The Independent Influencer may request a payout once the accumulated Commission reaches $90.&#8221;<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Confidentiality.<\\\/strong><\\\/span><\\\/p><p>Definition. \\u201cConfidential Information\\u201d means all trade secrets and confidential or proprietary information, whether or not in writing, concerning Feliluke&#8217;s business technology, business relationships or financial affairs which Feliluke has not released to the general public. By way of illustration, Confidential Information includes, but is not limited to, information or material which has not been made generally available to the public, such as: (i) corporate information, including plans, strategies, method, policies, resolutions, negotiations or litigation;(ii) marketing information, including strategies methods, customer identities or other information about customers , prospect identities or other information about prospects, or market analyses or projections; (iii) financial information, including cost and performance data (iv) operational and technological information, including plans, specifications, manuals, forms, templates, software, designs, methods, procedures, formulas, discoveries, inventions improvements, concepts and ideas; and (v) personnel information, including personnel lists, reporting or organizational structure, resumes, personnel data. Confidential Information also includes information received in confidence by Feliluke from its customers or suppliers or other third parties.<br \\\/>Non-Disclosure and Non-Use Obligations. Independent Influencer will not, at any time, without Feliluke&#8217;s prior written permission, either during or after the term of this Agreement, disclose any Confidential Information to anyone outside of Feliluke, or use or permit to be used any Confidential Information for any purpose other than the performance of the Services for or on behalf of Feliluke. Independent Influencer will cooperate with Feliluke and use best efforts to prevent the unauthorized disclosure or use of any and all Confidential Information. Independent Influencer will deliver to Feliluke all copies of Confidential Information in Independent Influencer&#8217;s possession or control upon the earlier of a request by Feliluke or termination of this Agreement for any reason.<br \\\/>Information of Third Parties. Independent Influencer understands that Feliluke is now and may hereafter be subject to non-disclosure or confidentiality agreements with third persons which require Feliluke to protect or refrain from use of Confidential Information. The Marks are proprietary and nothing in this Agreement constitutes the grant of a general license for their use. Independent Influencer does not acquire any right, title or interest in the Marks or the goodwill associated therewith. Independent Influencer agrees not to (A) attack the Marks or assist anyone in attack in the Marks, and (B) make any application to register the Marks or use any confusingly similar trademark, service mark, trade name, iconography, or derivation thereof including, but not limited to, the registration of any domain name including any of the Marks, during the term of this Agreement and thereafter.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Federal Trade Commission Requirements.<\\\/strong><\\\/span><\\\/p><p>Independent Influencer acknowledges and agrees that the provisions of the Federal Trade Commission&#8217;s Guides Concerning Use of Endorsements and Testimonials in Advertising (the \\u201cGuides\\u201d) apply to Independent Influencer&#8217;s provision of the Services hereunder. Independent Influencer represents and warrants that he or she has read and understands the Guides and their requirements, and that the Content and Other Developments (including, without limitation, social media communications regarding Feliluke products, the Feliluke brand and\\\/or the Program) will contain clear and prominent disclosures compliant with the Guides.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Independent Influencer Social Channels.<\\\/strong><\\\/span><\\\/p><p>In connection with performing the Services, Independent Influencer may link certain of his or her Social Channels to the Influencer Page. If Independent Influence so elects, Feliluke may link to, and stream content from such Social Channels on its websites, social media channels and in other Feliluke advertising and promotional materials.<br \\\/>Representations and Warranties.<\\\/p><p>Independent Influencer represents and warrants that:<\\\/p><p>-He or she is at least 18 year of age and legally allowed to live and work in his\\\/her country of residence<br \\\/>-The Services will be performed in a professional, lawful and workmanlike manner, in accordance with any terms and conditions set forth herein and in the Feliluke Materials;<br \\\/>-The Content and Other Developments are Independent Influencer&#8217; s original work<br \\\/>-Use of the Content and Other Developments by Feliluke will not infringe or involve the misappropriation of any third party rights<br \\\/>-All clearances and licenses relating to the use of the Content or Other Developments have been obtained by Independent Influencer<br \\\/>Except as expressly set forth herein, no fee, compensation or any other payment whatsoever will be payable by Feliluke for any Content or Other Developments or any content or material incorporated therein to any third party;<br \\\/>He or she will comply with all applicable laws, rules and regulations, including the Guides<\\\/p><p>Indemnification.<\\\/p><p>Independent Influencer shall indemnify and hold Feliluke, its affiliates and their respective directors, officers, agents and employees harmless from and against all claims, demands, losses, damages and judgments, including court costs and attorneys&#8217; fees, arising out of or based upon the Services and\\\/or Independent Influencer&#8217;s performance thereof including, but not limited to, (a) any claim that the Services provided hereunder or, any related intellectual property rights or the exercise of any rights in or to any Content, Other Development, Influencer IP or related intellectual property rights infringe on, constitute a misappropriation of the subject matter of, or otherwise violate any patent, copyright, trade secret, or trademark of any person or breaches any person&#8217; s contractual rights; and (b) any breach or alleged breach by Independent Influencer of any representation, warranty, certification, covenant, obligation or other agreement set forth in this Agreement.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Term; Termination.<\\\/strong><\\\/span><\\\/p><p>This Agreement will commence on the Effective Date and continue until terminated as set forth herein. Either party may terminate this Agreement for convenience upon at least seven (7) days&#8217; prior written notice thereof to the other party. Feliluke may, in addition to any other rights it may have at law or in equity, terminate this Agreement immediately and without prior notice if Independent Influencer refuses to or is unable to perform the Services or is in breach of any material provision of this Agreement. Upon any termination of this Agreement, all rights and duties of the parties toward each other shall cease, except that the following Sections shall survive: 2 (with respect to any Net Revenue accrued during the term of this Agreement but not yet paid); 3, 4(a), 4(b), 4(c) and 5 through 13 (inclusive).<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Independent Contractor; No Agency.<\\\/strong><\\\/span><\\\/p><p>Independent Influencer is not and shall not be deemed an employee, agent, joint venture or partner of Feliluke, and neither party shall have any right or authority to assume or create any obligation on behalf of or bind the other party in any manner whatsoever.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Feliluke Affiliate Terms &amp; Conditions<\\\/strong><\\\/span><\\\/p><p>Please read our affiliate terms and conditions (\\u201cTerms\\u201d) carefully before you join our program or begin marketing our program. These terms and conditions are written in plain language intentionally avoiding legalese to ensure that they may be clearly understood and followed by affiliates. For example, you will comply with the European Union\\u2019s Privacy and Electronic Communications Directive if you are conducting business in or taking orders from persons in one or more of the European Union countries.<\\\/p><p>REVERSAL &amp; COMMUNICATION POLICY<br \\\/>We take pride in its very low reversal rate, which we attribute to open communication with our affiliates. However, we reserve the right to reverse orders due to order cancellations, duplicate tracking, returns, disputed charges, and program violations as outlined in these terms and conditions.<\\\/p><p>Additionally, if we ask you for clarification or more information on any orders or clicks that we suspect may be in violation of our terms and conditions, we expect that you will respond in a timely and honest manner.
