Come parte dei Servizi, Independent Influencer generer\u00e0 e pubblicher\u00e0 contenuti (inclusi, senza limitazioni, testo, video e immagini) riguardanti il marchio Feliluke e i prodotti Feliluke sulla pagina Web dedicata di Independent Influencer (la &quot;Pagina Influencer&quot;) e su Instagram, Instagram Story, Twitter, Facebook, TikTok, blog e potenzialmente YouTube e Pinterest (i &quot;Canali Social&quot;) (collettivamente i &quot;Contenuti&quot;) nel tentativo di generare vendite.<\/p><p>L&#039;Influencer indipendente accetta di:<\/p><p>- Dedicare ai Servizi il proprio tempo, le proprie risorse e i propri sforzi nella misura ragionevolmente necessaria per eseguirli in modo professionale e diligente.<br \/>-Rispettare tutte le leggi e i regolamenti applicabili.<br \/>- Determinare, a propria discrezione, il tempo, il luogo, il modo, i mezzi, i metodi e le risorse personali\/autonome con cui i Servizi vengono eseguiti e realizzati.<br \/>- Fornire e utilizzare la propria attrezzatura, i propri strumenti e altre risorse nell&#039;esecuzione dei Servizi, ma Feliluke fornir\u00e0 all&#039;Influencer indipendente determinati materiali informativi per facilitare la creazione di contenuti creati dall&#039;Influencer indipendente sulla sua Pagina Influencer e\/o sui Canali social (tali modelli e altri materiali sono collettivamente denominati &quot;Materiali Feliluke&quot;).<br \/>- Sar\u00e0 responsabile (i) della creazione e della modifica del Contenuto e (ii) dell&#039;invio tramite e-mail a Feliluke di tale Contenuto da caricare sulla Pagina dell&#039;Influencer o della pubblicazione di tale Contenuto sui Canali Social.<br \/>-Tutti i Contenuti caricati sulla Pagina Influencer verranno pubblicati sulla Pagina Influencer.<br \/>- Resta inteso e concordato che l&#039;Influencer indipendente sar\u00e0 un contraente indipendente, non \u00e8 e non sar\u00e0 considerato un agente o un dipendente di Feliluke (o di una qualsiasi delle sue affiliate o entit\u00e0 correlate) e non avr\u00e0 alcuna autorit\u00e0 di vincolare Feliluke (o delle sue affiliate o entit\u00e0 correlate) tramite contratto o in altro modo.<\/p><p><span style=\"text-decoration: underline;\"><strong>Restrizioni.<\/strong><\/span><\/p><p>L&#039;Influencer indipendente accetta di non:<\/p><p>- Fare dichiarazioni denigratorie su Feliluke e\/o sui prodotti Feliluke<br \/>-Collegare la Pagina Influencer a siti web di terze parti, diversi dai Canali Social, o reindirizzare in altro modo i visitatori della Pagina Influencer a siti web di terze parti, a meno che non si tratti di siti di collegamento.<br \/>- Rivendere o distribuire qualsiasi prodotto Feliluke, compresi quelli ricevuti gratuitamente o come regalo, per scopi commerciali, diversi dalla Pagina Influencer<br \/>-Promuovere i prodotti Feliluke, il marchio Feliluke, il Programma e\/o la Pagina Influencer tramite qualsiasi sito web, media, social media o presenza o risorsa elettronica che possa essere considerata pornografica, oscena, offensiva o discriminatoria<br \/>- Partecipare a transazioni fraudolente, secondo quanto ragionevolmente determinato da Feliluke, incluso, senza limitazioni, effettuare transazioni da indirizzi IP dell&#039;Influencer o computer sotto il controllo dell&#039;Influencer.<\/p><p><span style=\"text-decoration: underline;\"><strong>Risarcimento.<\/strong><\/span><\/p><p>In cambio dei Servizi, Feliluke pagher\u00e0 all&#039;Influencer indipendente una commissione fissa di $30 per ogni Ordine di qualificazione di prodotti specifici, come da Appendice Commissione di seguito (la\/le &quot;Commissione\/i&quot;). Un &quot;Ordine di qualificazione&quot; \u00e8 definito come un acquisto di prodotti Feliluke specifici tramite la Pagina Influencer, effettuato utilizzando un metodo di pagamento accettato da Feliluke e che \u00e8 definitivo: qualsiasi reso comporter\u00e0 la detrazione della Commissione specifica dai pagamenti mensili. L&#039;Influencer indipendente \u00e8 l&#039;unico responsabile della creazione e del mantenimento di un account di elaborazione dei pagamenti e della comunicazione di tali informazioni dell&#039;account a Feliluke allo scopo di ricevere i pagamenti come delineato nel presente documento. iluke non \u00e8 responsabile dell&#039;esecuzione di alcun pagamento basato su importi risultanti da transazioni fraudolente, come ragionevolmente determinato da Feliluke, inclusi, senza limitazioni, qualsiasi transazione originata da indirizzi IP dell&#039;Influencer o computer sotto il controllo dell&#039;Influencer. L&#039;Influencer indipendente non divulgher\u00e0, in nessun momento, senza la previa autorizzazione scritta di Feliluke, durante o dopo la durata del presente Contratto, alcuna Informazione riservata a chiunque al di fuori di Feliluke, n\u00e9 utilizzer\u00e0 o consentir\u00e0 l&#039;utilizzo di Informazione riservata per scopi diversi dall&#039;esecuzione dei Servizi per o per conto di Feliluke. L&#039;Influencer indipendente collaborer\u00e0 con Feliluke e far\u00e0 del suo meglio per impedire la divulgazione o l&#039;utilizzo non autorizzati di qualsiasi Informazione riservata. L&#039;Influencer indipendente consegner\u00e0 a Feliluke tutte le copie delle Informazioni riservate in possesso o sotto il controllo dell&#039;Influencer indipendente al verificarsi della prima delle seguenti condizioni: richiesta da parte di Feliluke o risoluzione del presente Contratto per qualsiasi motivo.<br \/>Informazioni di terze parti. I Marchi sono proprietari e nulla nel presente Contratto costituisce la concessione di una licenza generale per il loro utilizzo. Independent Influencer non acquisisce alcun diritto, titolo o interesse sui Marchi o sull&#039;avviamento ad essi associato. Independent Influencer accetta di non (A) attaccare i Marchi o assistere chiunque nell&#039;attacco ai Marchi e (B) presentare alcuna domanda di registrazione dei Marchi o utilizzare qualsiasi marchio commerciale, marchio di servizio, nome commerciale, iconografia o derivazione degli stessi confusamente simili, inclusi, ma non limitati a, la registrazione di qualsiasi nome di dominio, inclusi tutti i Marchi, durante la durata del presente Contratto e successivamente.<\/p><p><span style=\"text-decoration: underline;\"><strong>Requisiti della Federal Trade Commission.<\/strong><\/span><\/p><p>Independent Influencer riconosce e accetta che le disposizioni delle Guide della Federal Trade Commission relative all&#039;uso di approvazioni e testimonianze nella pubblicit\u00e0 (le &quot;Guide&quot;) si applicano alla fornitura dei Servizi da parte di Independent Influencer ai sensi del presente documento. Independent Influencer dichiara e garantisce di aver letto e compreso le Guide e i relativi requisiti e che il Contenuto e gli Altri sviluppi (inclusi, senza limitazioni, le comunicazioni sui social media relative ai prodotti Feliluke, al marchio Feliluke e\/o al Programma) conterranno informative chiare e visibili conformi alle Guide.<\/p><p><span style=\"text-decoration: underline;\"><strong>Canali social degli influencer indipendenti.<\/strong><\/span><\/p><p>In relazione all&#039;esecuzione dei Servizi, Independent Influencer pu\u00f2 collegare alcuni dei suoi Canali Social alla Pagina Influencer. Se Independent Influence lo desidera, Feliluke pu\u00f2 collegarsi e trasmettere in streaming contenuti da tali Canali Social sui suoi siti web, canali social media e in altri materiali pubblicitari e promozionali di Feliluke.<br \/>Dichiarazioni e garanzie.<\/p><p>L&#039;Influencer indipendente dichiara e garantisce che:<\/p><p>-Ha almeno 18 anni ed \u00e8 legalmente autorizzato a vivere e lavorare nel suo paese di residenza<br \/>- I Servizi saranno eseguiti in modo professionale, lecito e a regola d&#039;arte, in conformit\u00e0 con tutti i termini e le condizioni qui stabiliti e nei Materiali Feliluke;<br \/>-I contenuti e gli altri sviluppi sono lavori originali dell&#039;Influencer indipendente<br \/>- L&#039;uso del Contenuto e degli Altri Sviluppi da parte di Feliluke non violer\u00e0 n\u00e9 comporter\u00e0 l&#039;appropriazione indebita di diritti di terze parti<br \/>-Tutte le autorizzazioni e le licenze relative all&#039;uso del Contenuto o di Altri Sviluppi sono state ottenute da Influencer Indipendenti<br \/>Salvo quanto espressamente stabilito nel presente documento, Feliluke non dovr\u00e0 corrispondere alcun compenso, indennizzo o altro pagamento per alcun Contenuto o Altri Sviluppi o per alcun contenuto o materiale ivi incorporato a terzi;<br \/>Lui o lei rispetter\u00e0 tutte le leggi, le norme e i regolamenti applicabili, comprese le Guide<\/p><p>Indennizzo.<\/p><p>L&#039;Influencer indipendente dovr\u00e0 indennizzare e tenere indenni Feliluke, le sue affiliate e i rispettivi direttori, funzionari, agenti e dipendenti da e contro tutti i reclami, le richieste, le perdite, i danni e le sentenze, comprese le spese processuali e le parcelle degli avvocati, derivanti da o basati sui Servizi e\/o sulle prestazioni dell&#039;Influencer indipendente, inclusi, a titolo esemplificativo ma non esaustivo, (a) qualsiasi reclamo secondo cui i Servizi forniti ai sensi del presente documento o qualsiasi diritto di propriet\u00e0 intellettuale correlato o l&#039;esercizio di qualsiasi diritto su o per qualsiasi Contenuto, Altro sviluppo, IP dell&#039;Influencer o diritti di propriet\u00e0 intellettuale correlati violino, costituiscano un&#039;appropriazione indebita dell&#039;oggetto o altrimenti violino qualsiasi brevetto, copyright, segreto commerciale o marchio di qualsiasi persona o violino i diritti contrattuali di qualsiasi persona; e (b) qualsiasi violazione o presunta violazione da parte dell&#039;Influencer indipendente di qualsiasi dichiarazione, garanzia, certificazione, patto, obbligo o altro accordo stabilito nel presente Contratto.<\/p><p><span style=\"text-decoration: underline;\"><strong>Termine; Risoluzione.<\/strong><\/span><\/p><p>Il presente Contratto avr\u00e0 inizio alla Data di Efficacia e continuer\u00e0 fino alla sua risoluzione come stabilito nel presente documento. Entrambe le parti possono risolvere il presente Contratto per convenienza, previa comunicazione scritta all&#039;altra parte con almeno sette (7) giorni di preavviso. Feliluke pu\u00f2, oltre a qualsiasi altro diritto di cui pu\u00f2 disporre per legge o in equit\u00e0, risolvere il presente Contratto immediatamente e senza preavviso se l&#039;Influencer Indipendente rifiuta o non \u00e8 in grado di eseguire i Servizi o viola qualsiasi disposizione sostanziale del presente Contratto. A \\u201cQualifying Order\\u201d is defined as a purchase of specified Feliluke products via the Influencer Page, made using a payment method accepted by Feliluke, and which is final &#8211; any returns will result in the specific Commission being deducted from the monthly payouts. Commissions will be paid by Feliluke to the Independent Influencer via Stripe. The Independent Influencer is solely responsible for creating and maintaining a Payment Processor account and communicating such account information to Feliluke for the purpose of receiving payments as outlined herein. iluke is not responsible for making any payments based on amounts resulting from fraudulent transactions, as reasonably determined by Feliluke, including, without limitation, any transactions originating from the Influencer&#8217;s IP addresses or computers under the Influencer&#8217;s control. The Independent Influencer may request a payout once the accumulated Commission reaches $90.&#8221;<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Confidentiality.<\\\/strong><\\\/span><\\\/p><p>Definition. \\u201cConfidential Information\\u201d means all trade secrets and confidential or proprietary information, whether or not in writing, concerning Feliluke&#8217;s business technology, business relationships or financial affairs which Feliluke has not released to the general public. By way of illustration, Confidential Information includes, but is not limited to, information or material which has not been made generally available to the public, such as: (i) corporate information, including plans, strategies, method, policies, resolutions, negotiations or litigation;(ii) marketing information, including strategies methods, customer identities or other information about customers , prospect identities or other information about prospects, or market analyses or projections; (iii) financial information, including cost and performance data (iv) operational and technological information, including plans, specifications, manuals, forms, templates, software, designs, methods, procedures, formulas, discoveries, inventions improvements, concepts and ideas; and (v) personnel information, including personnel lists, reporting or organizational structure, resumes, personnel data. Confidential Information also includes information received in confidence by Feliluke from its customers or suppliers or other third parties.<br \\\/>Non-Disclosure and Non-Use Obligations. Independent Influencer will not, at any time, without Feliluke&#8217;s prior written permission, either during or after the term of this Agreement, disclose any Confidential Information to anyone outside of Feliluke, or use or permit to be used any Confidential Information for any purpose other than the performance of the Services for or on behalf of Feliluke. Independent Influencer will cooperate with Feliluke and use best efforts to prevent the unauthorized disclosure or use of any and all Confidential Information. Independent Influencer will deliver to Feliluke all copies of Confidential Information in Independent Influencer&#8217;s possession or control upon the earlier of a request by Feliluke or termination of this Agreement for any reason.<br \\\/>Information of Third Parties. Independent Influencer understands that Feliluke is now and may hereafter be subject to non-disclosure or confidentiality agreements with third persons which require Feliluke to protect or refrain from use of Confidential Information. Independent Influencer agrees to be bound by the terms of such agreements in the event Independent Influencer has access to such Confidential Information.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Intellectual Property Rights.<\\\/strong><\\\/span><br \\\/><strong>Content License.<\\\/strong><\\\/p><p>Independent Influencer hereby grants to Feliluke and its subsidiaries, affiliates, licensees, agents, representatives, successors and assigns:<br \\\/>-Unrestricted, fully-paid, royalty free, exclusive, transferable and irrevocable rights, power and authority to use, reproduce, publish, print, distribute, transmit, copy or otherwise use any of the Content, worldwide and perpetually, in whole or in part, in any medium known now or later discovered, for the purpose of its advertisements, promotions, marketing activities, public relations, educational and other commercial or non-commercial purposes, subject only to the payment made to Independent Influencer in section 2 hereof.<br \\\/>-Independent Influencer shall have the revocable, unlimited, perpetual and worldwide right to use the Content, for Independent Influencer\\u2019s promotional purposes, in any and all media now known or hereafter developed.<br \\\/>-With respect to Content which portrays Independent Influencer\\u2019s face, body and voice (the \\u201cRestricted Materials\\u201d), Feliluke shall have the right to use the Restricted Materials upon prior approval from Independent Influencer.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Other Developments.<\\\/strong><\\\/span><\\\/p><p>Independent Influencer hereby grants to Feliluke and its affiliated companies, successors and assigns, the royalty-free, perpetual, unrestricted, transferable, irrevocable sublicensable, non-exclusive, worldwide right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display any content or other materials, other than the Content, (i) submitted to Feliluke in connection with the Program or (ii) otherwise created by Independent Influencer in connection with the Services, (collectively, the \\u201cOther Developments\\u201d)<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Feliluke Materials and Trademark.<\\\/strong><\\\/span><\\\/p><p>Except for Independent Influencer&#8217;s limited right to use the Feliluke Materials solely in connection with performing the Services, Feliluke retains all right title and interest in the Feliluke Materials, including all related intellectual property rights.<\\\/p><p>Independent Influencer agrees that any use of the Marks:<\\\/p><p>-Will comply with Feliluke&#8217;s quality standards and trademark guidelines, which may be provided by Feliluke to Independent Influencer from time to time<br \\\/>-Will solely inure to the benefit of Feliluke. The Marks are proprietary and nothing in this Agreement constitutes the grant of a general license for their use. Independent Influencer does not acquire any right, title or interest in the Marks or the goodwill associated therewith. If Independent Influence so elects, Feliluke may link to, and stream content from such Social Channels on its websites, social media channels and in other Feliluke advertising and promotional materials.<br \\\/>Representations and Warranties.<\\\/p><p>Independent Influencer represents and warrants that:<\\\/p><p>-He or she is at least 18 year of age and legally allowed to live and work in his\\\/her country of residence<br \\\/>-The Services will be performed in a professional, lawful and workmanlike manner, in accordance with any terms and conditions set forth herein and in the Feliluke Materials;<br \\\/>-The Content and Other Developments are Independent Influencer&#8217; s original work<br \\\/>-Use of the Content and Other Developments by Feliluke will not infringe or involve the misappropriation of any third party rights<br \\\/>-All clearances and licenses relating to the use of the Content or Other Developments have been obtained by Independent Influencer<br \\\/>Except as expressly set forth herein, no fee, compensation or any other payment whatsoever will be payable by Feliluke for any Content or Other Developments or any content or material incorporated therein to any third party;<br \\\/>He or she will comply with all applicable laws, rules and regulations, including the Guides<\\\/p><p>Indemnification.<\\\/p><p>Independent Influencer shall indemnify and hold Feliluke, its affiliates and their respective directors, officers, agents and employees harmless from and against all claims, demands, losses, damages and judgments, including court costs and attorneys&#8217; fees, arising out of or based upon the Services and\\\/or Independent Influencer&#8217;s performance thereof including, but not limited to, (a) any claim that the Services provided hereunder or, any related intellectual property rights or the exercise of any rights in or to any Content, Other Development, Influencer IP or related intellectual property rights infringe on, constitute a misappropriation of the subject matter of, or otherwise violate any patent, copyright, trade secret, or trademark of any person or breaches any person&#8217; s contractual rights; and (b) any breach or alleged breach by Independent Influencer of any representation, warranty, certification, covenant, obligation or other agreement set forth in this Agreement.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Term; Termination.<\\\/strong><\\\/span><\\\/p><p>This Agreement will commence on the Effective Date and continue until terminated as set forth herein. Either party may terminate this Agreement for convenience upon at least seven (7) days&#8217; prior written notice thereof to the other party. Feliluke may, in addition to any other rights it may have at law or in equity, terminate this Agreement immediately and without prior notice if Independent Influencer refuses to or is unable to perform the Services or is in breach of any material provision of this Agreement.
