Como parte dos Servi\u00e7os, o Influenciador Independente gerar\u00e1 e publicar\u00e1 conte\u00fado (incluindo, sem limita\u00e7\u00e3o, texto, v\u00eddeos e imagens) sobre a marca Feliluke e os produtos Feliluke na p\u00e1gina da Web dedicada do Influenciador Independente (a \u201cP\u00e1gina do Influenciador\u201d) e no Instagram do Influenciador, Instagram Story, Twitter, Facebook, TikTok, blog e potencialmente YouTube e Pinterest (os \u201cCanais Sociais\u201d) (coletivamente o \u201cConte\u00fado\u201d) em um esfor\u00e7o para gerar vendas.<\/p><p>O influenciador independente concorda em:<\/p><p>-Dedicar seu tempo, recursos e melhores esfor\u00e7os aos Servi\u00e7os conforme for razoavelmente necess\u00e1rio para execut\u00e1-los de maneira profissional e diligente.<br \/>-Cumprir todas as leis e regulamentos aplic\u00e1veis.<br \/>-Determinar, a seu crit\u00e9rio, o tempo, local, maneira, meios, m\u00e9todos e recursos independentes\/pessoais pelos quais os Servi\u00e7os s\u00e3o executados e alcan\u00e7ados.<br \/>-Fornecer e utilizar seus pr\u00f3prios equipamentos, ferramentas e outros recursos na execu\u00e7\u00e3o dos Servi\u00e7os, mas Feliluke fornecer\u00e1 ao Influenciador Independente certos materiais informativos para facilitar a cria\u00e7\u00e3o do conte\u00fado criado pelo Influenciador Independente para sua P\u00e1gina de Influenciador e\/ou Canais Sociais (como modelos e outros materiais s\u00e3o coletivamente referidos como \u201cMateriais Feliluke\u201d).<br \/>-Ser\u00e1 respons\u00e1vel por (i) criar e editar o Conte\u00fado e (ii) enviar por e-mail para Feliluke esse Conte\u00fado para carreg\u00e1-lo na P\u00e1gina do Influenciador ou postar tal Conte\u00fado nos Canais Sociais.<br \/>-Todo o Conte\u00fado carregado na P\u00e1gina do Influenciador ser\u00e1 postado na P\u00e1gina do Influenciador.<br \/>- Fica entendido e acordado que o Influenciador Independente ser\u00e1 um contratante independente, n\u00e3o \u00e9 e n\u00e3o ser\u00e1 considerado um agente ou funcion\u00e1rio da Feliluke (ou de qualquer uma de suas afiliadas ou entidades relacionadas) e n\u00e3o ter\u00e1 autoridade para vincular a Feliluke (ou seus afiliadas ou entidades relacionadas) por contrato ou de outra forma.<\/p><p><span style=\"text-decoration: underline;\"><strong>Restri\u00e7\u00f5es.<\/strong><\/span><\/p><p>O Influenciador Independente concorda que n\u00e3o ir\u00e1:<\/p><p>-Fazer quaisquer declara\u00e7\u00f5es depreciativas sobre Feliluke e\/ou produtos Feliluke<br \/>-Link para quaisquer sites de terceiros, que n\u00e3o sejam os Canais Sociais, na P\u00e1gina do Influenciador ou de outra forma redirecione os visitantes da P\u00e1gina do Influenciador para sites de terceiros, a menos que estejam vinculando sites.<br \/>-Revender ou distribuir quaisquer produtos Feliluke, incluindo aqueles recebidos gratuitamente ou como presentes, para fins comerciais, que n\u00e3o seja atrav\u00e9s da P\u00e1gina do Influenciador<br \/>-Promover os produtos Feliluke, a marca Feliluke, o Programa e\/ou a P\u00e1gina do Influenciador por meio de qualquer site, m\u00eddia, m\u00eddia social ou presen\u00e7a ou recurso eletr\u00f4nico que possa ser considerado pornogr\u00e1fico, obsceno, ofensivo ou discriminat\u00f3rio<br \/>-Envolver-se em quaisquer transa\u00e7\u00f5es fraudulentas, conforme razoavelmente determinado pela Feliluke, incluindo, sem limita\u00e7\u00e3o, fazer transa\u00e7\u00f5es a partir de endere\u00e7os IP do Influenciador ou computadores sob o controle do Influenciador.<\/p><p><span style=\"text-decoration: underline;\"><strong>Compensa\u00e7\u00e3o.<\/strong><\/span><\/p><p>Em contrapresta\u00e7\u00e3o pelos Servi\u00e7os, Feliluke pagar\u00e1 ao Influenciador Independente uma comiss\u00e3o fixa de $30 para cada Pedido Qualificado de produtos especificados, conforme o Ap\u00eandice de Comiss\u00e3o abaixo (a(s) \u201cComiss\u00e3o(s)\u201d). Um \u201cPedido Qualificado\u201d \u00e9 definido como uma compra de produtos Feliluke espec\u00edficos atrav\u00e9s da P\u00e1gina do Influenciador, feita usando um m\u00e9todo de pagamento aceito pela Feliluke, e que \u00e9 final \u2013 qualquer devolu\u00e7\u00e3o resultar\u00e1 na dedu\u00e7\u00e3o da Comiss\u00e3o espec\u00edfica dos pagamentos mensais. As comiss\u00f5es ser\u00e3o pagas por Feliluke ao Influenciador Independente via Stripe. O Influenciador Independente \u00e9 o \u00fanico respons\u00e1vel por criar e manter uma conta de Processador de Pagamentos e comunicar essas informa\u00e7\u00f5es da conta \u00e0 Feliluke com a finalidade de receber pagamentos conforme descrito neste documento. A iluke n\u00e3o \u00e9 respons\u00e1vel por efetuar quaisquer pagamentos com base em valores resultantes de transa\u00e7\u00f5es fraudulentas, conforme razoavelmente determinado pela Feliluke, incluindo, sem limita\u00e7\u00e3o, quaisquer transa\u00e7\u00f5es originadas dos endere\u00e7os IP do Influenciador ou de computadores sob o controle do Influenciador. O Influenciador Independente pode solicitar um pagamento assim que a Comiss\u00e3o acumulada atingir $90.\u201d<\/p><p><span style=\"text-decoration: underline;\"><strong>Confidencialidade.<\/strong><\/span><\/p><p>Defini\u00e7\u00e3o. \u201cInforma\u00e7\u00f5es Confidenciais\u201d significa todos os segredos comerciais e informa\u00e7\u00f5es confidenciais ou propriet\u00e1rias, escritas ou n\u00e3o, relativas \u00e0 tecnologia comercial, rela\u00e7\u00f5es comerciais ou assuntos financeiros da Feliluke que a Feliluke n\u00e3o tenha divulgado ao p\u00fablico em geral. A t\u00edtulo de ilustra\u00e7\u00e3o, Informa\u00e7\u00f5es Confidenciais incluem, mas n\u00e3o est\u00e3o limitadas a, informa\u00e7\u00f5es ou materiais que n\u00e3o tenham sido disponibilizados ao p\u00fablico, tais como: (i) informa\u00e7\u00f5es corporativas, incluindo planos, estrat\u00e9gias, m\u00e9todos, pol\u00edticas, resolu\u00e7\u00f5es, negocia\u00e7\u00f5es ou lit\u00edgio; (ii) informa\u00e7\u00f5es de marketing, incluindo m\u00e9todos estrat\u00e9gicos, identidades de clientes ou outras informa\u00e7\u00f5es sobre clientes, identidades de clientes potenciais ou outras informa\u00e7\u00f5es sobre clientes potenciais, ou an\u00e1lises ou proje\u00e7\u00f5es de mercado; (iii) informa\u00e7\u00f5es financeiras, incluindo dados de custos e desempenho (iv) informa\u00e7\u00f5es operacionais e tecnol\u00f3gicas, incluindo planos, especifica\u00e7\u00f5es, manuais, formul\u00e1rios, modelos, software, projetos, m\u00e9todos, procedimentos, f\u00f3rmulas, descobertas, melhorias de inven\u00e7\u00f5es, conceitos e ideias; e (v) informa\u00e7\u00f5es pessoais, incluindo listas de pessoal, relat\u00f3rios ou estrutura organizacional, curr\u00edculos e dados pessoais. Informa\u00e7\u00f5es Confidenciais tamb\u00e9m incluem informa\u00e7\u00f5es recebidas confidencialmente pela Feliluke de seus clientes ou fornecedores ou outros terceiros.<br \/>Obriga\u00e7\u00f5es de n\u00e3o divulga\u00e7\u00e3o e n\u00e3o utiliza\u00e7\u00e3o. O Influenciador Independente n\u00e3o ir\u00e1, em nenhum momento, sem a permiss\u00e3o pr\u00e9via por escrito da Feliluke, durante ou ap\u00f3s a vig\u00eancia deste Contrato, divulgar qualquer Informa\u00e7\u00e3o Confidencial a qualquer pessoa fora da Feliluke, ou usar ou permitir o uso de qualquer Informa\u00e7\u00e3o Confidencial para qualquer finalidade que n\u00e3o seja a execu\u00e7\u00e3o dos Servi\u00e7os para ou em nome da Feliluke. O Influenciador Independente cooperar\u00e1 com Feliluke e envidar\u00e1 todos os esfor\u00e7os para evitar a divulga\u00e7\u00e3o ou uso n\u00e3o autorizado de toda e qualquer Informa\u00e7\u00e3o Confidencial. O Influenciador Independente entregar\u00e1 \u00e0 Feliluke todas as c\u00f3pias das Informa\u00e7\u00f5es Confidenciais em posse ou controle do Influenciador Independente mediante solicita\u00e7\u00e3o da Feliluke ou rescis\u00e3o deste Contrato por qualquer motivo, o que ocorrer primeiro.<br \/>Informa\u00e7\u00f5es de Terceiros. O Influenciador Independente entende que Feliluke est\u00e1 agora e poder\u00e1 futuramente estar sujeito a acordos de n\u00e3o divulga\u00e7\u00e3o ou confidencialidade com terceiros que exigem que Feliluke proteja ou evite o uso de Informa\u00e7\u00f5es Confidenciais. O Influenciador Independente concorda em ficar vinculado aos termos de tais acordos caso o Influenciador Independente tenha acesso a tais Informa\u00e7\u00f5es Confidenciais.<\/p><p><span style=\"text-decoration: underline;\"><strong>Direito de propriedade intelectual.<\/strong><\/span><br \/><strong>Licen\u00e7a de Conte\u00fado.<\/strong><\/p><p>O Influenciador Independente concede \u00e0 Feliluke e suas subsidi\u00e1rias, afiliadas, licenciadas, agentes, representantes, sucessores e cession\u00e1rios:<br \/>-Direitos irrestritos, totalmente pagos, isentos de royalties, exclusivos, transfer\u00edveis e irrevog\u00e1veis, poder e autoridade para usar, reproduzir, publicar, imprimir, distribuir, transmitir, copiar ou de outra forma usar qualquer Conte\u00fado, em todo o mundo e perpetuamente, no todo ou em parte parte, em qualquer meio conhecido agora ou descoberto posteriormente, para fins de seus an\u00fancios, promo\u00e7\u00f5es, atividades de marketing, rela\u00e7\u00f5es p\u00fablicas, educacionais e outros fins comerciais ou n\u00e3o comerciais, sujeito apenas ao pagamento feito ao Influenciador Independente na se\u00e7\u00e3o 2 deste documento.<br \/>-O Influenciador Independente ter\u00e1 o direito revog\u00e1vel, ilimitado, perp\u00e9tuo e mundial de usar o Conte\u00fado, para fins promocionais do Influenciador Independente, em toda e qualquer m\u00eddia agora conhecida ou desenvolvida no futuro.<br \/>-Com rela\u00e7\u00e3o ao Conte\u00fado que retrata o rosto, o corpo e a voz do Influenciador Independente (os \u201cMateriais Restritos\u201d), Feliluke ter\u00e1 o direito de usar os Materiais Restritos mediante aprova\u00e7\u00e3o pr\u00e9via do Influenciador Independente.<\/p><p><span style=\"text-decoration: underline;\"><strong>Outros desenvolvimentos.<\/strong><\/span><\/p><p>O Influenciador Independente concede \u00e0 Feliluke e suas empresas afiliadas, sucessores e cession\u00e1rios, o direito e a licen\u00e7a mundial, livre de royalties, perp\u00e9tuo, irrestrito, transfer\u00edvel, irrevog\u00e1vel, sublicenci\u00e1vel, n\u00e3o exclusivo, para usar, reproduzir, modificar, adaptar, publicar, traduzir, criar trabalhos derivados, distribuir, executar e exibir qualquer conte\u00fado ou outros materiais, exceto o Conte\u00fado, (i) enviado \u00e0 Feliluke em conex\u00e3o com o Programa ou (ii) criado de outra forma pelo Influenciador Independente em conex\u00e3o com os Servi\u00e7os, (coletivamente, os \u201cOutros Desenvolvimentos\u201d)<\/p><p><span style=\"text-decoration: underline;\"><strong>Materiais e marca registrada da Feliluke.<\/strong><\/span><\/p><p>Exceto pelo direito limitado do Influenciador Independente de usar os Materiais da Feliluke exclusivamente em conex\u00e3o com a execu\u00e7\u00e3o dos Servi\u00e7os, a Feliluke ret\u00e9m todos os t\u00edtulos e interesses nos Materiais da Feliluke, incluindo todos os direitos de propriedade intelectual relacionados.<\/p><p>O Influenciador Independente concorda que qualquer uso das Marcas:<\/p><p>-Cumprir\u00e1 os padr\u00f5es de qualidade e diretrizes de marca registrada da Feliluke, que podem ser fornecidos pela Feliluke ao Influenciador Independente de tempos em tempos<br \/>-Ir\u00e1 reverter exclusivamente em benef\u00edcio de Feliluke. As Marcas s\u00e3o propriet\u00e1rias e nada neste Contrato constitui a concess\u00e3o de uma licen\u00e7a geral para seu uso. O Influenciador Independente n\u00e3o adquire qualquer direito, t\u00edtulo ou interesse nas Marcas ou no fundo de com\u00e9rcio a elas associado. O Influenciador Independente concorda em (A) atacar as Marcas ou ajudar algu\u00e9m no ataque \u00e0s Marcas, e (B) fazer qualquer pedido de registro das Marcas ou usar qualquer marca registrada, marca de servi\u00e7o, nome comercial, iconografia ou deriva\u00e7\u00e3o semelhante que possa confundir, incluindo , mas n\u00e3o limitado a, o registro de qualquer nome de dom\u00ednio, incluindo qualquer uma das Marcas, durante a vig\u00eancia deste Contrato e posteriormente.<\/p><p><span style=\"text-decoration: underline;\"><strong>Requisitos da Comiss\u00e3o Federal de Com\u00e9rcio.<\/strong><\/span><\/p><p>O Influenciador Independente reconhece e concorda que as disposi\u00e7\u00f5es dos Guias da Comiss\u00e3o Federal de Com\u00e9rcio sobre o Uso de Endossos e Depoimentos em Publicidade (os \u201cGuias\u201d) se aplicam \u00e0 presta\u00e7\u00e3o dos Servi\u00e7os do Influenciador Independente nos termos deste documento. O Influenciador Independente declara e garante que leu e compreendeu os Guias e seus requisitos, e que o Conte\u00fado e Outros Desenvolvimentos (incluindo, sem limita\u00e7\u00e3o, comunica\u00e7\u00f5es de m\u00eddia social sobre produtos Feliluke, a marca Feliluke e\/ou o Programa) conter\u00e3o divulga\u00e7\u00f5es claras e proeminentes em conformidade com os Guias.<\/p><p><span style=\"text-decoration: underline;\"><strong>Canais sociais de influenciadores independentes.<\/strong><\/span><\/p><p>Em conex\u00e3o com a execu\u00e7\u00e3o dos Servi\u00e7os, o Influenciador Independente pode vincular alguns de seus Canais Sociais \u00e0 P\u00e1gina do Influenciador. Se a Influ\u00eancia Independente assim o decidir, a Feliluke poder\u00e1 vincular e transmitir conte\u00fado de tais Canais Sociais em seus sites, canais de m\u00eddia social e em outros materiais publicit\u00e1rios e promocionais da Feliluke.<br \/>Representa\u00e7\u00f5es e garantias.<\/p><p>O Influenciador Independente declara e garante que:<\/p><p>-Ele ou ela tem pelo menos 18 anos de idade e est\u00e1 legalmente autorizado a viver e trabalhar em seu pa\u00eds de resid\u00eancia<br \/>-Os Servi\u00e7os ser\u00e3o executados de maneira profissional, legal e profissional, de acordo com quaisquer termos e condi\u00e7\u00f5es estabelecidos neste documento e nos Materiais Feliluke;<br \/>-O conte\u00fado e outros desenvolvimentos s\u00e3o trabalhos originais do influenciador independente<br \/>-O uso do Conte\u00fado e Outros Desenvolvimentos pela Feliluke n\u00e3o infringir\u00e1 ou envolver\u00e1 a apropria\u00e7\u00e3o ind\u00e9bita de quaisquer direitos de terceiros<br \/>-Todas as autoriza\u00e7\u00f5es e licen\u00e7as relacionadas ao uso do Conte\u00fado ou Outros Desenvolvimentos foram obtidas pelo Influenciador Independente<br \/>Exceto conforme expressamente estabelecido neste documento, nenhuma taxa, compensa\u00e7\u00e3o ou qualquer outro pagamento ser\u00e1 devido pela Feliluke por qualquer Conte\u00fado ou Outros Desenvolvimentos ou qualquer conte\u00fado ou material nele incorporado a terceiros;<br \/>Ele ou ela cumprir\u00e1 todas as leis, regras e regulamentos aplic\u00e1veis, incluindo os Guias<\/p><p>Indeniza\u00e7\u00e3o.<\/p><p>O Influenciador Independente dever\u00e1 indenizar e isentar Feliluke, suas afiliadas e seus respectivos diretores, executivos, agentes e funcion\u00e1rios de e contra todas as reivindica\u00e7\u00f5es, demandas, perdas, danos e julgamentos, incluindo custas judiciais e honor\u00e1rios advocat\u00edcios, decorrentes ou baseados no Servi\u00e7os e\/ou desempenho do Influenciador Independente, incluindo, mas n\u00e3o limitado a, (a) qualquer reivindica\u00e7\u00e3o de que os Servi\u00e7os fornecidos nos termos deste documento ou quaisquer direitos de propriedade intelectual relacionados ou o exerc\u00edcio de quaisquer direitos em ou sobre qualquer Conte\u00fado, Outro Desenvolvimento, Propriedade Intelectual do Influenciador ou os direitos de propriedade intelectual relacionados infringem, constituem uma apropria\u00e7\u00e3o ind\u00e9bita do assunto ou de outra forma violam qualquer patente, direito autoral, segredo comercial ou marca registrada de qualquer pessoa ou violam os direitos contratuais de qualquer pessoa; e (b) qualquer viola\u00e7\u00e3o ou suposta viola\u00e7\u00e3o por parte do Influenciador Independente de qualquer representa\u00e7\u00e3o, garantia, certifica\u00e7\u00e3o, pacto, obriga\u00e7\u00e3o ou outro acordo estabelecido neste Contrato.<\/p><p><span style=\"text-decoration: underline;\"><strong>Prazo; Termina\u00e7\u00e3o.<\/strong><\/span><\/p><p>Este Contrato ter\u00e1 in\u00edcio na Data de Vig\u00eancia e continuar\u00e1 at\u00e9 ser rescindido conforme estabelecido neste documento. Qualquer uma das partes poder\u00e1 rescindir este Contrato por conveni\u00eancia mediante notifica\u00e7\u00e3o por escrito \u00e0 outra parte com pelo menos sete (7) dias de anteced\u00eancia. Feliluke pode, al\u00e9m de quaisquer outros direitos que possa ter por lei ou por equidade, rescindir este Contrato imediatamente e sem aviso pr\u00e9vio se o Influenciador Independente se recusar ou for incapaz de executar os Servi\u00e7os ou violar qualquer disposi\u00e7\u00e3o material deste Contrato. Ap\u00f3s qualquer rescis\u00e3o deste Contrato, todos os direitos e deveres das partes entre si cessar\u00e3o, exceto que as seguintes Se\u00e7\u00f5es sobreviver\u00e3o: 2 (com rela\u00e7\u00e3o a qualquer Receita L\u00edquida acumulada durante a vig\u00eancia deste Contrato, mas ainda n\u00e3o paga); 3, 4(a), 4(b), 4(c) e 5 a 13 (inclusive).<\/p><p><span style=\"text-decoration: underline;\"><strong>Contratante independente; Nenhuma ag\u00eancia.<\/strong><\/span><\/p><p>O Influenciador Independente n\u00e3o \u00e9 e n\u00e3o ser\u00e1 considerado um funcion\u00e1rio, agente, joint venture ou parceiro da Feliluke, e nenhuma das partes ter\u00e1 qualquer direito ou autoridade para assumir ou criar qualquer obriga\u00e7\u00e3o em nome ou vincular a outra parte de qualquer forma.<\/p><p><span style=\"text-decoration: underline;\"><strong>Termos e Condi\u00e7\u00f5es do Afiliado Feliluke<\/strong><\/span><\/p><p>Por favor, leia nossos termos e condi\u00e7\u00f5es de afiliados (\u201cTermos\u201d) cuidadosamente antes de aderir ao nosso programa ou come\u00e7ar a comercializar nosso programa. Estes termos e condi\u00e7\u00f5es s\u00e3o escritos em linguagem simples, evitando intencionalmente o uso jur\u00eddico para garantir que possam ser claramente compreendidos e seguidos pelos afiliados. Cada Afiliado deve e \u00e9 respons\u00e1vel por garantir que seus funcion\u00e1rios, agentes e contratados cumpram estes termos e condi\u00e7\u00f5es, bem como nossos Termos de Uso (\u201cTOU\u201d). Qualquer disputa relacionada a estes Termos ou \u00e0 sua participa\u00e7\u00e3o no Programa (definido abaixo) est\u00e1 sujeita \u00e0 Se\u00e7\u00e3o 16 dos TOU. Se houver um conflito entre estes Termos e os TOU, estes Termos prevalecer\u00e3o. Estes Termos est\u00e3o sujeitos a altera\u00e7\u00f5es e, se voc\u00ea discordar de qualquer altera\u00e7\u00e3o ou modifica\u00e7\u00e3o, sua \u00fanica op\u00e7\u00e3o \u00e9 descontinuar sua participa\u00e7\u00e3o no Programa. Seu uso continuado do Programa ap\u00f3s qualquer altera\u00e7\u00e3o ou modifica\u00e7\u00e3o significa que voc\u00ea concorda com os Termos modificados\/alterados. Muito obrigado.<\/p><p>DEFINI\u00c7\u00d5ES<br \/>Conforme usado nestes Termos: (i) \u201cN\u00f3s\u201d, \u201cnos\u201d ou \u201cnosso\u201d refere-se \u00e0 Feliluke. e nosso site; (ii) \u201cvoc\u00ea\u201d ou \u201cseu\u201d refere-se ao Afiliado; (iii) \u201cnosso site\u201d refere-se \u00e0s nossas propriedades localizadas em http:\/\/www.Feliluke.com; (iv) \u201cseu site\u201d refere-se a quaisquer sites que voc\u00ea vincular\u00e1 ao nosso site; (v) \u201cPrograma\u201d refere-se ao nosso Programa de Afiliados.<\/p><p>RESTRI\u00c7\u00d5ES DO SITE<br \/>O(s) seu(s) site(s) participante(s) n\u00e3o pode(m):<\/p><p>-Infringir a propriedade intelectual, publicidade, privacidade ou outros direitos nossos ou de qualquer outra pessoa.<br \/>Violar qualquer lei, regra ou regulamento.<br \/>-Conter qualquer conte\u00fado que seja amea\u00e7ador, assediante, difamat\u00f3rio, obsceno, prejudicial a menores ou que contenha nudez, pornografia ou materiais sexualmente expl\u00edcitos.<br \/>-Conter quaisquer v\u00edrus, cavalos de Tr\u00f3ia, worms, bombas-rel\u00f3gio, cancelbots ou outras rotinas de programa\u00e7\u00e3o de computador que tenham a inten\u00e7\u00e3o de danificar, interferir, interceptar sub-repticiamente ou expropriar qualquer sistema, dados ou informa\u00e7\u00f5es pessoais.<br \/>-Conter software ou usar tecnologia que tente interceptar, desviar ou redirecionar o tr\u00e1fego da Internet de ou para qualquer outro site, ou que potencialmente permita o desvio de comiss\u00f5es de afiliados de outro site. As part of the Services, Independent Influencer will generate and post content (including, without limitation, text, videos and images) regarding Feliluke brand and Feliluke products on Independent Influencer\\u2019s dedicated Web page (the \\u201cInfluencer Page\\u201d) and on Influencer&#8217;s Instagram, Instagram Story, Twitter, Facebook, TikTok, blog and potentially YouTube and Pinterest (the \\u201cSocial Channels\\u201d) (collectively the \\u201cContent\\u201d) in an effort to generate sales.<\\\/p><p>Independent Influencer agrees to:<\\\/p><p>-Devote such of his\\\/her time, resources and best efforts to the Services as is reasonably necessary to perform them in a professional and diligent manner.<br \\\/>-Comply with all applicable laws and regulations.<br \\\/>-Determine, in his \\\/her discretion, the time, place, manner, means, methods and independent\\\/personal resources by which the Services are performed and achieved.<br \\\/>-Provide and utilize his\\\/her own equipment, tools and other resources in performing the Services but Feliluke will provide to Independent Influencer certain informational materials to facilitate the creation of Independent Influencer&#8217;s created content to his\\\/her Influencer Page and\\\/or Social Channels (such templates and other materials are collectively referred to as the \\u201cFeliluke Materials\\u201d).<br \\\/>-Will be responsible for (i) creating and editing the Content and (ii) either emailing to Feliluke such Content to upload to the Influencer Page or posting such Content on the Social Channels.<br \\\/>-All such Content that is uploaded to the Influencer Page will be posted to the Influencer Page.<br \\\/>-It is understood and agreed that Independent Influencer will be an independent contractor, is not and will not be considered an agent or employee of Feliluke (or any of its affiliates or related entities), and shall have no authority to bind Feliluke (or its affiliates or related entities) by contract or otherwise.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Restrictions.<\\\/strong><\\\/span><\\\/p><p>Independent Influencer agrees that they will not:<\\\/p><p>-Make any derogatory statements about Feliluke and\\\/or Feliluke products<br \\\/>-Link to any third-party websites, other than the Social Channels, on the Influencer Page or otherwise redirect visitors of the Influencer Page to third-party websites, unless they&#8217;re linking sites.<br \\\/>-Resell or distribute any Feliluke products, including those received for free or as gifts, for commercial purposes, other than via the Influencer Page<br \\\/>-Promote Feliluke products, the Feliluke brand, the Program and\\\/or the Influencer Page via any website, media, social media, or electronic presence or resource that may be considered pornographic, lewd, offensive, or discriminate<br \\\/>-Engage in any fraudulent transactions, as reasonably determined by Feliluke, including without limitation, making transactions from Influencer&#8217;s IP addresses or computers under Influencer&#8217;s control.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Compensation.<\\\/strong><\\\/span><\\\/p><p>In consideration for the Services, Feliluke will pay the Independent Influencer a fixed commission of $30 for each Qualifying Order of specified products, as per the Commission Appendix below (the \\u201cCommission(s)\\u201d). A \\u201cQualifying Order\\u201d is defined as a purchase of specified Feliluke products via the Influencer Page, made using a payment method accepted by Feliluke, and which is final &#8211; any returns will result in the specific Commission being deducted from the monthly payouts. Commissions will be paid by Feliluke to the Independent Influencer via Stripe. The Independent Influencer is solely responsible for creating and maintaining a Payment Processor account and communicating such account information to Feliluke for the purpose of receiving payments as outlined herein. iluke is not responsible for making any payments based on amounts resulting from fraudulent transactions, as reasonably determined by Feliluke, including, without limitation, any transactions originating from the Influencer&#8217;s IP addresses or computers under the Influencer&#8217;s control. The Independent Influencer may request a payout once the accumulated Commission reaches $90.&#8221;<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Confidentiality.<\\\/strong><\\\/span><\\\/p><p>Definition. \\u201cConfidential Information\\u201d means all trade secrets and confidential or proprietary information, whether or not in writing, concerning Feliluke&#8217;s business technology, business relationships or financial affairs which Feliluke has not released to the general public. By way of illustration, Confidential Information includes, but is not limited to, information or material which has not been made generally available to the public, such as: (i) corporate information, including plans, strategies, method, policies, resolutions, negotiations or litigation;(ii) marketing information, including strategies methods, customer identities or other information about customers , prospect identities or other information about prospects, or market analyses or projections; (iii) financial information, including cost and performance data (iv) operational and technological information, including plans, specifications, manuals, forms, templates, software, designs, methods, procedures, formulas, discoveries, inventions improvements, concepts and ideas; and (v) personnel information, including personnel lists, reporting or organizational structure, resumes, personnel data. Confidential Information also includes information received in confidence by Feliluke from its customers or suppliers or other third parties.<br \\\/>Non-Disclosure and Non-Use Obligations. Independent Influencer will not, at any time, without Feliluke&#8217;s prior written permission, either during or after the term of this Agreement, disclose any Confidential Information to anyone outside of Feliluke, or use or permit to be used any Confidential Information for any purpose other than the performance of the Services for or on behalf of Feliluke. Independent Influencer will cooperate with Feliluke and use best efforts to prevent the unauthorized disclosure or use of any and all Confidential Information. Independent Influencer will deliver to Feliluke all copies of Confidential Information in Independent Influencer&#8217;s possession or control upon the earlier of a request by Feliluke or termination of this Agreement for any reason.<br \\\/>Information of Third Parties. Independent Influencer understands that Feliluke is now and may hereafter be subject to non-disclosure or confidentiality agreements with third persons which require Feliluke to protect or refrain from use of Confidential Information. Independent Influencer agrees to be bound by the terms of such agreements in the event Independent Influencer has access to such Confidential Information.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Intellectual Property Rights.<\\\/strong><\\\/span><br \\\/><strong>Content License.<\\\/strong><\\\/p><p>Independent Influencer hereby grants to Feliluke and its subsidiaries, affiliates, licensees, agents, representatives, successors and assigns:<br \\\/>-Unrestricted, fully-paid, royalty free, exclusive, transferable and irrevocable rights, power and authority to use, reproduce, publish, print, distribute, transmit, copy or otherwise use any of the Content, worldwide and perpetually, in whole or in part, in any medium known now or later discovered, for the purpose of its advertisements, promotions, marketing activities, public relations, educational and other commercial or non-commercial purposes, subject only to the payment made to Independent Influencer in section 2 hereof.<br \\\/>-Independent Influencer shall have the revocable, unlimited, perpetual and worldwide right to use the Content, for Independent Influencer\\u2019s promotional purposes, in any and all media now known or hereafter developed.<br \\\/>-With respect to Content which portrays Independent Influencer\\u2019s face, body and voice (the \\u201cRestricted Materials\\u201d), Feliluke shall have the right to use the Restricted Materials upon prior approval from Independent Influencer.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Other Developments.<\\\/strong><\\\/span><\\\/p><p>Independent Influencer hereby grants to Feliluke and its affiliated companies, successors and assigns, the royalty-free, perpetual, unrestricted, transferable, irrevocable sublicensable, non-exclusive, worldwide right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display any content or other materials, other than the Content, (i) submitted to Feliluke in connection with the Program or (ii) otherwise created by Independent Influencer in connection with the Services, (collectively, the \\u201cOther Developments\\u201d)<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Feliluke Materials and Trademark.<\\\/strong><\\\/span><\\\/p><p>Except for Independent Influencer&#8217;s limited right to use the Feliluke Materials solely in connection with performing the Services, Feliluke retains all right title and interest in the Feliluke Materials, including all related intellectual property rights.<\\\/p><p>Independent Influencer agrees that any use of the Marks:<\\\/p><p>-Will comply with Feliluke&#8217;s quality standards and trademark guidelines, which may be provided by Feliluke to Independent Influencer from time to time<br \\\/>-Will solely inure to the benefit of Feliluke. The Marks are proprietary and nothing in this Agreement constitutes the grant of a general license for their use. Independent Influencer does not acquire any right, title or interest in the Marks or the goodwill associated therewith. Independent Influencer agrees not to (A) attack the Marks or assist anyone in attack in the Marks, and (B) make any application to register the Marks or use any confusingly similar trademark, service mark, trade name, iconography, or derivation thereof including, but not limited to, the registration of any domain name including any of the Marks, during the term of this Agreement and thereafter.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Federal Trade Commission Requirements.<\\\/strong><\\\/span><\\\/p><p>Independent Influencer acknowledges and agrees that the provisions of the Federal Trade Commission&#8217;s Guides Concerning Use of Endorsements and Testimonials in Advertising (the \\u201cGuides\\u201d) apply to Independent Influencer&#8217;s provision of the Services hereunder. Independent Influencer represents and warrants that he or she has read and understands the Guides and their requirements, and that the Content and Other Developments (including, without limitation, social media communications regarding Feliluke products, the Feliluke brand and\\\/or the Program) will contain clear and prominent disclosures compliant with the Guides.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Independent Influencer Social Channels.<\\\/strong><\\\/span><\\\/p><p>In connection with performing the Services, Independent Influencer may link certain of his or her Social Channels to the Influencer Page. If Independent Influence so elects, Feliluke may link to, and stream content from such Social Channels on its websites, social media channels and in other Feliluke advertising and promotional materials.<br \\\/>Representations and Warranties.<\\\/p><p>Independent Influencer represents and warrants that:<\\\/p><p>-He or she is at least 18 year of age and legally allowed to live and work in his\\\/her country of residence<br \\\/>-The Services will be performed in a professional, lawful and workmanlike manner, in accordance with any terms and conditions set forth herein and in the Feliluke Materials;<br \\\/>-The Content and Other Developments are Independent Influencer&#8217; s original work<br \\\/>-Use of the Content and Other Developments by Feliluke will not infringe or involve the misappropriation of any third party rights<br \\\/>-All clearances and licenses relating to the use of the Content or Other Developments have been obtained by Independent Influencer<br \\\/>Except as expressly set forth herein, no fee, compensation or any other payment whatsoever will be payable by Feliluke for any Content or Other Developments or any content or material incorporated therein to any third party;<br \\\/>He or she will comply with all applicable laws, rules and regulations, including the Guides<\\\/p><p>Indemnification.<\\\/p><p>Independent Influencer shall indemnify and hold Feliluke, its affiliates and their respective directors, officers, agents and employees harmless from and against all claims, demands, losses, damages and judgments, including court costs and attorneys&#8217; fees, arising out of or based upon the Services and\\\/or Independent Influencer&#8217;s performance thereof including, but not limited to, (a) any claim that the Services provided hereunder or, any related intellectual property rights or the exercise of any rights in or to any Content, Other Development, Influencer IP or related intellectual property rights infringe on, constitute a misappropriation of the subject matter of, or otherwise violate any patent, copyright, trade secret, or trademark of any person or breaches any person&#8217; s contractual rights; and (b) any breach or alleged breach by Independent Influencer of any representation, warranty, certification, covenant, obligation or other agreement set forth in this Agreement.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Term; Termination.<\\\/strong><\\\/span><\\\/p><p>This Agreement will commence on the Effective Date and continue until terminated as set forth herein. Either party may terminate this Agreement for convenience upon at least seven (7) days&#8217; prior written notice thereof to the other party. Feliluke may, in addition to any other rights it may have at law or in equity, terminate this Agreement immediately and without prior notice if Independent Influencer refuses to or is unable to perform the Services or is in breach of any material provision of this Agreement. Upon any termination of this Agreement, all rights and duties of the parties toward each other shall cease, except that the following Sections shall survive: 2 (with respect to any Net Revenue accrued during the term of this Agreement but not yet paid); 3, 4(a), 4(b), 4(c) and 5 through 13 (inclusive).<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Independent Contractor; No Agency.<\\\/strong><\\\/span><\\\/p><p>Independent Influencer is not and shall not be deemed an employee, agent, joint venture or partner of Feliluke, and neither party shall have any right or authority to assume or create any obligation on behalf of or bind the other party in any manner whatsoever.<\\\/p><p><span style=\\\"text-decoration: underline;\\\"><strong>Feliluke Affiliate Terms &amp; Conditions<\\\/strong><\\\/span><\\\/p><p>Please read our affiliate terms and conditions (\\u201cTerms\\u201d) carefully before you join our program or begin marketing our program. These terms and conditions are written in plain language intentionally avoiding legalese to ensure that they may be clearly understood and followed by affiliates. Each Affiliate must, and is responsible for assuring that its employees, agents and contractors, comply with these terms and conditions as well as our Terms of Use (\\u201cTOU\\u201d). Any dispute in connection with these Terms or your participation in the Program (defined below) is subject to Section 16 of the TOU. If there is a conflict between these Terms and the TOU, these Terms will control. These Terms are subject to change and, if you disagree with any change or modification, your only option is to discontinue your participation the Program. Your continued use of the Program after any change or modification means that you agree to the modified\\\/changed Terms. Thank you very much.<\\\/p><p>DEFINITIONS<br \\\/>As used in these Terms: (i) \\u201cWe\\u201d, \\u201cus\\u201d, or \\u201cour\\u201d refers to Feliluke. and our website; (ii) \\u201cyou\\u201d or \\u201cyour\\u201d refers to the Affiliate; (iii) \\u201cour website\\u201d refers to our properties located at http:\\\/\\\/www.Feliluke.com; (iv) \\u201cyour website\\u201d refers to any websites that you will link to our website; (v) \\u201cProgram\\u201d refers to our Affiliate Program.<\\\/p><p>WEBSITE RESTRICTIONS<br \\\/>Your participating website(s) may not:<\\\/p><p>-Infringe on our or any anyone else\\u2019s intellectual property, publicity, privacy or other rights.<br \\\/>Violate any law, rule or regulation.<br \\\/>-Contain any content that is threatening, harassing, defamatory, obscene, harmful to minors, or contains nudity, pornography or sexually explicit materials.<br \\\/>-Contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, interfere with, surreptitiously intercept or expropriate any system, data, or personal information.<br \\\/>-Contain software or use technology that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website. This includes toolbars, browser plug-ins, extensions and add-ons.<\\\/p><p>LINKING TO OUR WEBSITE<br \\\/>Upon acceptance into the Program, links will be made available to you through the affiliate interface. Your acceptance in our program means you agree to and abide by the following.<\\\/p><p>-You will only use linking code obtained from the affiliate interface without manipulation.<br \\\/>-All domains that use your affiliate link must be listed in your affiliate profile.<br \\\/>-Your Website will not in any way copy, resemble, or mirror the look and feel of our Website. You will also not use any means to create the impression that your Website is our Website or any part of our Website including, without limitation, framing of our Website in any manner.<br \\\/>-You may not engage in cookie stuffing or include pop-ups, false or misleading links on your website. In addition, wherever possible, you will not attempt to mask the referring url information (i.e. the page from where the click is originating).<br \\\/>-Using redirects to bounce a click off of a domain from which the click did not originate in order to give the appearance that it came from that domain is prohibited.<br \\\/>-If you are found redirecting links to hide or manipulate their original source, your current and past commissions will be voided or your commission level will be set to 0%. This does not include using \\u201cout\\u201d redirects from the same domain where the affiliate link is placed.<\\\/p><p>COUPON GUIDELINES<br \\\/>If you are enrolled in our Program and your Website promotes coupon codes, you must adhere to our Coupon Guidelines as follows:<\\\/p><p>-You may ONLY advertise coupon codes that are provided to you through the affiliate program.<br \\\/>-Posting any information about how to work around the requirements of a coupon\\\/promotion (ie first time customers only) will result in removal from the program.<br \\\/>-Coupons must be displayed in their entirety with the full offer, valid expiration date and code.<br \\\/>-You may NOT use any technology that covers up the coupon code and generates the affiliate click by revealing the code(s).<br \\\/>-You may NOT advertise coupon codes obtained from any non-affiliate marketing channel, including coupon codes from our email, paid search or any other non-affiliate advertising campaigns.<br \\\/>-You may NOT give the appearance that any ongoing offer requires clicking from your website in order to redeem. For example, if all items on the site have free shipping over $100, you may not turn this into an offer that infers that the customer must click from your site to get this deal.<br \\\/>-Additionally, if your website ranks on the first page of Google for terms related to our website or company name(s) combined with the words coupon, coupons, coupon code, promo code, etc. and\\\/or your conversion rate exceeds 25%, you may be offered a lower commission than our standard rate to offset the reduced profitability of orders.<\\\/p><p>COUPON ATTRIBUTION &amp; AUTHENTICATION<br \\\/>Affiliates whose primary business is posting coupons, who are viewed by the program as being a coupon site, and\\\/or who are tagged as coupon in our system, may not be paid commissions for sales generated without a corresponding valid coupon code. Valid codes are defined as codes that are made available to the affiliate channel in general, through newsletters or the Deals Database in Refersion, and directly or privately to affiliates. Coupon codes that are not real, expired, not specific (i.e up to 40% off sale items) or are long-term sitewide offers that do not require a code may not considered valid codes and the affiliate will not be given commission on these orders.<\\\/p><p>SUB-AFFILIATE NETWORKS<br \\\/>Promoting us through a sub-affiliate network is permitted, however you must be completely transparent with regards to where traffic from your sub-affiliates originated. Sub-affiliate networks must ensure that all sub-affiliates promoting the Program adhere to our program terms and conditions. This includes restrictions on advertising through toolbars, browser extensions, and through any paid placements such as a pay-per-click campaigns. Sub-affiliate networks must also receive approval prior to allowing any type of coupon sub-affiliate to promote the Program.<\\\/p><p>Failure to comply with our sub-affiliate network terms may result in a loss and\\\/or reduction of commission from sales made through any sub-affiliate that does not comply with our program terms.<\\\/p><p>DOMAIN NAMES<br \\\/>Use of any of our trademarks as part of the domain or sub-domain for your website is strictly prohibited i.e. feliluke.website.com or feliluke-coupons.com.<\\\/p><p>ADVERTISING &amp; PUBLICITY<br \\\/>You shall not create, publish, distribute, or print any written material that makes reference to our Program without first submitting that material to us and receiving our prior written consent. If you intend to promote our Program via e-mail campaigns, you must adhere to the following:<\\\/p><p>Abide by the CAN-SPAM Act of 2003 (Public Law No. 108-187) with respect to our Program.<br \\\/>E-mail must be sent on your behalf and must not imply that the e-mail is being sent on our behalf.<br \\\/>E-mails must first be submitted to us for approval prior to being sent or we must be sent a copy of the e-mail.<\\\/p><p>SOCIAL MEDIA<br \\\/>Promotion on Facebook, Twitter, Instagram, YouTube and other social media platforms is permitted following these general guidelines:<\\\/p><p>-You ARE allowed to promote offers to your own social media pages or groups you manage; more specifically, you\\u2019re welcome to use your affiliate links on your own Facebook, Twitter, etc. pages. For example: You may post, \\u201c10% off sale at Feliluke through Wednesday with code Feliluke10.\\u201d<br \\\/>-You ARE PROHIBITED from posting your affiliate links on our Facebook, Twitter, Pinterest, etc. company pages in an attempt to turn those links into affiliate sales.<br \\\/>-You ARE PROHIBITED from running Facebook ads with our trademarks.<br \\\/>-You ARE PROHIBITED from creating a social media account that includes our trademarks in the page name and\\\/or username.<\\\/p><p>OPERATIONS OUTSIDE UNITED STATES<br \\\/>If you are conducting business in or taking orders from persons in other countries, you will follow the laws of those countries. For example, you will comply with the European Union\\u2019s Privacy and Electronic Communications Directive if you are conducting business in or taking orders from persons in one or more of the European Union countries.<\\\/p><p>REVERSAL &amp; COMMUNICATION POLICY<br \\\/>We take pride in its very low reversal rate, which we attribute to open communication with our affiliates. However, we reserve the right to reverse orders due to order cancellations, duplicate tracking, returns, disputed charges, and program violations as outlined in these terms and conditions.<\\\/p><p>Additionally, if we ask you for clarification or more information on any orders or clicks that we suspect may be in violation of our terms and conditions, we expect that you will respond in a timely and honest manner. Below are violations of our communications policy:<\\\/p><p>-You are not forthcoming, intentionally vague or are found to be lying.<br \\\/>-You are not responsive within a reasonable time period and after multiple attempts to contact with information listed in your network profile.<br \\\/>-You cannot substantiate or validate the source of your traffic to our program with clear and demonstrable proof.<br \\\/>-If any of the above apply, then we reserve the absolute right to reverse orders, set your commission to 0% or suspend you from the program for the period or orders in question. We know that many violations are a result of automated processes; however it is incumbent upon each affiliate to ensure that it has the appropriate checks and balances in place to pro-actively address these issues and adhere to our program rules.<\\\/p><p>COMMISSION STRUCTURE <br \\\/>To be eligible to earn a commission on purchases, a customer must click-through a tracking link or using an approved coupon code from your site to our site, add a course(s) to his or her shopping cart during a session and make a purchase before the session lapses. The session ends upon one of the following events: 45 days elapse from the customer&#8217;s initial click-through or the customer follows a third party&#8217;s tracking Link after clicking your tracking Link.<\\\/p><p>All purchases and new user registrations will be reviewed monthly for validity and may be voided if the purchase or new user registration is fraudulent. If you are found to be in violation at any time of our Program policies, any purchase or new user registration commission due to you may be forfeited.<\\\/p><p>INTELLECTUAL PROPERTY <br \\\/>We retain all right, title, ownership, and interest in our intellectual property, including any and all copyright, trademark, or other proprietary rights therein. Nothing in these Terms shall be construed to grant you any right, title or ownership in our intellectual property.<\\\/p><p>CONFIDENTIALITY <br \\\/>Any information that you are exposed to by virtue of your participation in the Program, which information is not available to the general public, shall be considered to be &#8220;Confidential Information.&#8221; You may not disclose any Confidential Information to any person or entity, except where compelled by law, unless you obtain our prior written consent for such disclosure. You shall not use any Confidential Information except to the extent necessary to fulfill the purposes of these Terms.<\\\/p><p>MODIFICATIONS<br \\\/>We may, in its sole discretion, change, suspend or discontinue any aspect of the Program (in whole or part), an offer or link or remove, alter, or modify any tags, text, graphic or banner ad in connection with a link. You agree to promptly implement any request from us to remove, alter or modify any link, graphic or banner ad that is being used by you as part of the Program.<\\\/p><p>INDEMNIFICATION <br \\\/>You hereby agree to indemnify, defend and hold harmless us and our respective subsidiaries, affiliates, partners, and licensors, directors, officers, employees, owners and agents against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys&#8217; fees and costs) based on (i) any failure or breach of these Terms, including any representation, warranty, covenant, restriction or obligation you made herein, (ii) any misuse by you, or by a party under your reasonable control or obtaining access through you, of the links, offers or our intellectual property, or (iii) any claim related to your media, including but not limited to, the content contained on such media (except for the Links).<\\\/p><p>DISCLAIMER<br \\\/>YOU ACKNOWLEDGE THAT YOU HAVE NOT RELIED ON ANY WARRANTIES RELATED TO THE PROGRAM OTHER THAN THE EXPRESS STATEMENTS IN THIS AGREEMENT, PROGRAM, LINKS, PRODUCTS AND SERVICES PROVIDED UNDER THIS AGREEMENT ARE PROVIDED TO AFFILIATE &#8220;AS IS&#8221;. TO THE FULLEST EXTENT OF THE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.
